The Nigerian Securities and Exchange Commission (SEC) is the apex regulatory authority for the Nigerian capital market. Established initially as the Capital Issues Committee in 1962 and later formalized by the Securities and Exchange Commission Decree No. 71 of 1979, its mandate has evolved over the years, currently operating under the Investments and Securities Act (ISA) 2007, with a new Investments and Securities Act 2025 recently coming into effect.
The SEC’s core mission is to promote and facilitate the growth of an equitable, effective, and open financial market in Nigeria, protecting investors, maintaining market integrity, and contributing to the nation’s economic development.
Key Responsibilities and Functions:
- Market Regulation:
- Registration: Meticulously assesses and registers individuals, institutions, and various financial instruments (securities, futures, options, derivatives, collective investment schemes) seeking to participate in the market.
- Licensing: Issues licenses to qualified persons and companies operating in the Nigerian capital market, including brokers, dealers, issuing houses, fund managers, registrars, and more recently, virtual and digital asset service providers.
- Inspection & Surveillance: Conducts regular on-site and off-site inspections, inquiries, and audits of market participants to ensure transparency, accountability, and compliance with regulations. It also maintains vigilant surveillance over exchanges and trading systems to prevent market rule violations and manipulative practices.
- Investigation & Enforcement: Investigates alleged breaches of market laws and regulations and enforces sanctions, which may include fines, bans, suspensions, or legal proceedings.
- Rule Making: Continuously reviews and updates regulations to align with international best practices, ensuring the market remains competitive and adaptable to global standards.
- Investor Protection:
- Safeguards the interests of investors against unfair practices, market abuse, and insider dealing.
- Initiates measures like the National Investor Protection Fund (NIPF) to compensate investors for pecuniary losses.
- Promotes e-processes like e-dividend and e-allotment to enhance investor experience and confidence.
- Market Development:
- Collaborates with stakeholders to encourage investor participation through workshops, seminars, town hall meetings, and educational initiatives aimed at promoting financial literacy.
- Identifies and promotes the development of innovative financial products and processes in the securities market.
- Oversees mergers, acquisitions, takeovers, and all forms of business combinations of public companies.
- Works towards the integration of the Nigerian Capital Market into regional and international capital market programs.
The SEC plays a pivotal role in ensuring a fair, efficient, and transparent capital market that mobilizes long-term funds for economic growth and instills investor confidence in Nigeria’s financial landscape.
